Terms of Service

These Terms govern access to and use of Gradien's website, Core, integrations, and related services. They are written for teams using Gradien to coordinate work with shared context, workflows, and AI agents.

1. Agreement to These Terms

These Terms of Service are an agreement between you and Gradien, Inc. ("Gradien," "we," "us," or "our"). By accessing or using Gradien's website, Core, applications, integrations, APIs, or related services, you agree to these Terms.

If you use Gradien on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, "you" and "your" refer to both you and that organization.

If you have a separate written agreement with Gradien, that agreement controls to the extent it conflicts with these Terms.

2. The Services

Gradien builds software for knowledge-intensive teams. Core is a workspace where people and AI agents can work from shared organizational context, including documents, decisions, tasks, workflows, integrations, and project history.

We may add, remove, suspend, or modify features over time. Some services may be offered as private beta, limited preview, pilot, or early access features.

3. Accounts, Organizations, and Administrators

You must provide accurate account information and keep your login credentials secure. You are responsible for activity under your account unless the activity results from Gradien's breach of these Terms.

If your account is part of an organization workspace, administrators for that workspace may control user access, permissions, connected integrations, retention settings, workspace content, and other administrative features. Your organization may access, export, restrict, or delete workspace content and account information associated with that workspace.

4. Acceptable Use

You may use the services only in compliance with these Terms, applicable law, and any product documentation or usage limits we provide. You will not:

  • use the services to violate laws, contracts, intellectual property rights, privacy rights, or security obligations;
  • submit unlawful, harmful, deceptive, abusive, infringing, or malicious content;
  • attempt to gain unauthorized access to Gradien, another user's account, or any third-party system;
  • interfere with, disrupt, overload, scan, or test the vulnerability of the services without authorization;
  • reverse engineer, copy, resell, sublicense, or exploit the services except as permitted by law or a written agreement;
  • use outputs from the services as a substitute for professional judgment where legal, financial, medical, safety, employment, or other high-impact decisions require independent review;
  • misrepresent generated output as human-authored where disclosure is required by law, contract, or professional standards.

5. Customer Content and Instructions

"Customer Content" means content, data, files, prompts, messages, documents, instructions, integration data, and other materials submitted to or generated within the services by you or your organization.

You retain ownership of Customer Content. You grant Gradien a limited license to host, process, transmit, display, and use Customer Content as needed to provide, secure, support, and improve the services, comply with law, and enforce these Terms.

You are responsible for Customer Content, including ensuring that you have the rights and permissions needed to submit it to Gradien and direct us to process it. Gradien may remove or restrict access to Customer Content if we reasonably believe it violates these Terms, law, or third-party rights.

6. Google Services and OAuth

If you sign in with Google or connect Google services, you authorize Gradien to access and process Google account information and Google API data only as permitted by the scopes, permissions, and product features you approve.

You are responsible for ensuring that your use of connected Google services through Gradien complies with applicable Google terms, your organization's policies, and all applicable laws. You can revoke Gradien's Google access through your Google account permissions page or available product settings.

Gradien's handling of Google user data is described in our Privacy Policy. Our use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

7. AI Features and Outputs

The services may include AI-assisted features that summarize, classify, draft, reason, research, execute workflows, or produce other outputs. AI outputs can be incomplete, inaccurate, outdated, or inappropriate for your intended use. You are responsible for reviewing outputs before relying on them or sharing them.

Subject to your compliance with these Terms and any applicable agreement, Gradien assigns to you any rights it has in outputs generated for you by the services. This assignment does not include Gradien technology, third-party materials, model provider technology, or content that is independently generated for another user.

Unless otherwise agreed in writing, Gradien does not use your Customer Content or Google user data to train generalized AI models.

8. Third-Party Services

The services may interoperate with third-party services, platforms, APIs, and model providers. Your use of third-party services is governed by their terms and policies. Gradien is not responsible for third-party services, and we do not control their availability, security, functionality, or data practices.

If you connect a third-party service, you authorize Gradien to exchange information with that service as needed to provide the connected feature.

9. Security and Confidentiality

Gradien uses administrative, technical, and organizational safeguards designed to protect the services and Customer Content. You must use reasonable security practices, including protecting credentials, managing user access, and promptly notifying us of suspected unauthorized access.

If either party receives confidential information from the other, the receiving party will use it only for purposes related to the services and will protect it with reasonable care.

10. Fees and Payment

Some services may require payment. Fees, billing terms, usage limits, renewal terms, and taxes will be described in an order form, subscription page, invoice, or separate agreement. Unless stated otherwise, fees are non-refundable except where required by law or agreed in writing.

11. Availability, Beta Features, and Support

We work to provide reliable services, but we do not guarantee uninterrupted availability. The services may be unavailable due to maintenance, security issues, third-party outages, infrastructure failures, or events outside our control.

Beta, pilot, preview, or experimental features are provided for evaluation and may be changed, suspended, or discontinued at any time.

12. Intellectual Property

Gradien and its licensors own all rights in the services, including software, interfaces, workflows, designs, documentation, trademarks, and underlying technology. Except for the rights expressly granted in these Terms, no rights are transferred to you.

If you give feedback, suggestions, or ideas about the services, you grant Gradien permission to use them without restriction or compensation.

13. Suspension and Termination

You may stop using the services at any time. Gradien may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay fees, or if continued access would harm Gradien, users, third parties, or the services.

After termination, your right to use the services ends. Sections that by their nature should survive termination will survive, including provisions about ownership, confidentiality, fees owed, disclaimers, liability limits, and dispute terms.

14. Disclaimers

The services are provided "as is" and "as available." To the fullest extent permitted by law, Gradien disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Gradien does not warrant that the services or AI outputs will be uninterrupted, error-free, secure, accurate, complete, or fit for your specific use case.

15. Limitation of Liability

To the fullest extent permitted by law, Gradien will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities.

To the fullest extent permitted by law, Gradien's total liability for any claim relating to the services or these Terms will not exceed the greater of $100 or the amount you paid Gradien for the services giving rise to the claim in the 12 months before the event giving rise to liability.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. The parties will bring disputes relating to these Terms or the services in the state or federal courts located in Delaware, unless a different venue is required by applicable law or a written agreement.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and provide additional notice where required by law or contract. Your continued use of the services after updated Terms become effective means you accept the updated Terms.
